Intralio Product Terms

These draft terms are intended to govern future access to Intralio supplied by Muhammad Saleem trading as Direct Logic, ABN 69 794 521 020. Intralio remains under construction and is not presently offered as a finished commercial service.

The final offer must identify the available plan, price, billing period, included features, support level, data-retention position, and any trial or early-access conditions before a customer agrees or pays.

Intralio is a record-keeping and journaling tool for self-directed stock and options traders. It imports supported broker data and derives ledger, trade, position, options-wheel, cost-basis, anomaly, and realized-history views from that data.

Intralio does not place trades, operate a brokerage account, manage money, provide signals, or tell a user what trade to make. Limited broker connections, where offered, must be read-only. CSV import is the general compatibility path.

• You must be at least 18 years old and legally able to enter the agreement.
• You must provide accurate account information and keep your password and device access secure.
• Access is personal, non-exclusive, non-transferable, and limited to the period and features stated in the applicable offer.
• You must promptly report suspected unauthorised account access.

You retain your rights in information you upload. You give Direct Logic a limited permission to host, copy, parse, normalise, derive records from, back up, and otherwise process that information only as needed to provide, secure, support, and maintain Intralio and meet legal obligations.

You must have lawful authority to upload the data. You must not provide another person’s confidential or personal information without authority, malware, unlawfully obtained records, or brokerage credentials. Direct Logic must not ask for trading or withdrawal permission.

Intralio is designed to preserve imported broker events and their provenance. “Immutable”, “canonical”, “audit-grade”, and “broker truth” describe the intended evidence model; they do not promise that a broker file, parser, user selection, or derived result is complete, legally admissible, or error-free.

Ambiguous records may be placed in a review queue. A user decision or correction should be recorded beside the original evidence rather than silently rewriting it. You remain responsible for reviewing import warnings and confirming that the record is suitable for your purpose.

FIFO matching, settled-cash profit and loss, positions, option-wheel cycles, adjusted cost basis, alerts, and rulebook classifications are software-derived views. Their accuracy depends on the completeness, format, assumptions, and interpretation of the source data.

A confirmed broker event establishes event truth only. Assignment, covered-call, campaign, and wheel-episode relationships may remain explicitly pending where the evidence does not support reliable attribution. Intralio must surface that uncertainty rather than invent a relationship.

Intralio is not a broker statement, trade confirmation, registry record, tax return, accounting ledger, financial plan, or personalised advice. It must not be used as the only record for tax reporting, regulatory reporting, dispute evidence, order management, or time-critical risk controls.

You should reconcile material figures against your broker and obtain appropriately qualified financial, tax, accounting, or legal help where needed.

A named broker means only that a specified export format is intended to be supported. It does not imply endorsement or partnership. Broker formats, data fields, APIs, corporate actions, and platform terms may change without notice and may temporarily or permanently affect an import or connection.

Intralio may also depend on hosting, storage, authentication, email, and error-monitoring services. Their outages or changes may affect availability.

• Do not share, sell, sublicense, scrape, reverse engineer, bypass usage limits, or make access available to another person except where law permits.
• Do not use Intralio to obtain unauthorised access to a broker, submit unlawful data, infringe rights, or interfere with the service.
• Do not use the service to provide a paid signal, advisory, managed-account, or copy-trading service under Direct Logic’s name.

Features and supported formats may evolve. Direct Logic should give reasonable notice of a material change that reduces paid access and provide any remedy required by law. Maintenance or urgent security action may occur without advance notice.

Before paid launch, Direct Logic should document a practical customer export and account-deletion process. You should keep your own broker source files and independent backups; Intralio is not the custodian of your only trading record.

Access may be suspended to investigate non-payment, security risk, unlawful use, account sharing, or a material breach. Except where immediate action is reasonably required, Direct Logic should provide notice and a fair opportunity to address the issue. Termination does not remove accrued rights or non-excludable remedies.

Nothing in these terms excludes, restricts, or modifies a consumer guarantee, right, remedy, or liability that cannot lawfully be excluded or limited, including under the Australian Consumer Law.

Any future limitation of liability, service-credit term, renewal term, refund rule, or unilateral-change right must be clear, proportionate, and professionally reviewed before commercial launch. These draft terms do not impose a liability cap.
